Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the GrojSale mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

2. Description of Service

GrojSale is a marketplace platform that connects sellers hosting garage sales, yard sales, estate sales, and similar events with local buyers. The App allows sellers to post sales, accept in-person payments via tap-to-pay (Apple Pay / Google Pay), and allows buyers to discover, browse, and plan visits to nearby sales.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use GrojSale. By using the App, you represent that you meet these requirements.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information during registration and to update it as needed. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Posting Sales

Sellers may post sales for a listing fee of $5.00 per sale, charged at the time of posting. By posting a sale, you represent that:

• You are authorized to sell the items listed
• Items are legal to sell in your jurisdiction
• The sale address and hours are accurate
• Photos and descriptions are truthful and not misleading

We reserve the right to remove any listing that violates these Terms or applicable law without refund of the listing fee.

6. Payments & Fees

GrojSale uses Stripe to process payments. By accepting in-person payments through the App, you agree to Stripe's Connected Account Agreement.

• GrojSale collects a flat platform fee (currently 30¢ per in-person transaction), shown in the App before each charge
• Card processing fees are added to the buyer's total by default; the seller may instead choose to absorb the fees
• Seller payouts are sent to the payout account the seller connects through Stripe
• The $5.00 listing fee is non-refundable once the sale is published
• Refunds for in-person transactions may be issued by the seller within 48 hours

GrojSale is not a party to transactions between buyers and sellers. We facilitate the payment but do not guarantee the quality, safety, or legality of items sold.

7. Prohibited Content & Conduct

You may not use GrojSale to:

• Post fraudulent, misleading, or spam listings
• Sell prohibited items (weapons, drugs, stolen goods, counterfeit items, hazardous materials)
• Harass, threaten, or abuse other users
• Attempt to circumvent payment processing or fees
• Use the App for any illegal purpose
• Scrape, crawl, or extract data from the App

8. User Content

You retain ownership of content you post (photos, descriptions). By posting content, you grant GrojSale a non-exclusive, royalty-free, worldwide license to display, distribute, and promote that content within the App and related marketing materials. You represent that you have the right to grant this license.

9. Limitation of Liability

GrojSale is provided "as is" without warranties of any kind. We are not liable for:

• Disputes between buyers and sellers
• Loss, theft, or damage to items
• Accuracy of sale listings or user-provided information
• Service interruptions or data loss
• Any indirect, incidental, or consequential damages

Our total liability shall not exceed the amount of fees you have paid to GrojSale in the preceding 12 months.

10. Indemnification

You agree to indemnify and hold harmless GrojSale, its operators, and affiliates from any claims, losses, or damages arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.

11. Account Deletion

You may delete your account at any time through the App settings. Upon deletion, your profile, bookmarks, and saved searches are permanently removed. Past sale listings are anonymized but retained for transaction record purposes.

12. Modifications

We may update these Terms from time to time. Material changes will be communicated through the App. Continued use after changes constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to GrojSale at any time, with or without cause, with or without notice. Upon termination, your right to use the App ceases immediately.

14. Governing Law

These Terms are governed by the laws of the State of Montana, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Yellowstone County, Montana.
